Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the LayrCake platform, software, services, and related documentation (collectively, the "Services") provided by LayrCake Ltd ("LayrCake", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you must not use the Services.

1. Definitions

"Customer"— The legal entity or individual subscribing to the Services.

"Authorised Users"— Individuals permitted by the Customer to use the Services.

"Platform"— The LayrCake architectural framework, code generation systems, tooling, and supporting infrastructure.

"Customer Content"— Any data, code, configurations, or materials provided or generated by the Customer using the Services.

"AI Services"— AI-assisted generation features made available within the Platform.

2. Scope of Service

LayrCake provides an architectural software platform designed to generate, structure, and govern application code within defined constraints.

LayrCake does not provide:

  • A finished application
  • Business logic correctness guarantees
  • Legal, regulatory, or compliance certification

Customer is responsible for:

  • System design decisions
  • Generated outputs
  • Validation, testing, and deployment
  • Regulatory compliance

3. AI Usage and Generated Output

The Platform may use AI-assisted generation to create or modify code and logic. You acknowledge and agree that:

  • AI output is generated probabilistically
  • AI-generated content may require review, testing, and modification
  • LayrCake does not guarantee correctness, completeness, or fitness for purpose

LayrCake provides architectural constraints, not correctness guarantees.

4. Intellectual Property

4.1 LayrCake IP

All intellectual property rights in the Platform, including architecture, templates, tooling, frameworks, and documentation, remain the exclusive property of LayrCake. No rights are transferred except as expressly stated.

4.2 Customer IP

Customer retains ownership of Customer Content and bespoke business logic generated within the Platform. LayrCake claims no ownership over Customer business logic or application data.

4.3 Licence Grant

Subject to payment and compliance with these Terms, LayrCake grants the Customer a non-exclusive, non-transferable, revocable licence to use the Platform during the subscription term.

5. Restrictions

You may not:

  • Reverse engineer or attempt to extract source components of the Platform
  • Resell, sublicense, or provide access to third parties without written consent
  • Use the Platform to build competing products
  • Bypass architectural constraints or safeguards
  • Use the Services unlawfully or maliciously

Violation may result in immediate termination.

6. Fees and Payment

  • Fees are payable in advance according to the selected pricing tier
  • All fees are exclusive of VAT and applicable taxes
  • Failure to pay may result in suspension or termination

Except where required by law, fees are non-refundable.

7. Term and Termination

7.1 Term

Subscriptions continue for the agreed billing period unless terminated.

7.2 Termination by Customer

Customers may terminate according to their subscription terms. No refunds are provided for unused periods.

7.3 Termination by LayrCake

LayrCake may suspend or terminate access immediately if these Terms are breached, usage poses security or legal risk, or payment obligations are unmet.

8. Data and Security

LayrCake implements reasonable technical and organisational measures to protect Platform data. However, the Customer acknowledges that no system is entirely secure, LayrCake is not responsible for Customer deployment environments, and backup and recovery of Customer systems remains the Customer's responsibility.

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other and to use it only for purposes related to the Services. This obligation survives termination.

10. Warranties and Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, LayrCake disclaims all warranties, including fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, LayrCake shall not be liable for indirect, incidental, or consequential damages. LayrCake's total liability shall not exceed fees paid by the Customer in the preceding 12 months. This includes loss of profit, data, or business opportunity.

12. Indemnity

Customer agrees to indemnify and hold harmless LayrCake against claims arising from Customer applications built using the Platform, misuse of the Services, or violation of applicable laws.

13. Enterprise & Custom Terms

Enterprise customers may be subject to separate agreements, SLAs, or order forms. In the event of conflict, those documents take precedence.

14. Changes to Terms

LayrCake may update these Terms from time to time. Material changes will be notified where reasonable. Continued use constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
